5.2 Fees and Payment

The fees for our services are as described on our website or as specified in a separate agreement. All fees are quoted in British Pounds (GBP) unless otherwise stated and are exclusive of applicable taxes.

Payment terms will be specified in the separate agreement or statement of work. Unless otherwise agreed, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges at the maximum rate permitted by law.

Our refund policy will be specified in the separate agreement or statement of work. In general, refunds are provided at our discretion and depend on the nature of the services provided.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by InnovoCode, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 License to Use Website

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our website for your personal, non-commercial use. This license does not include any resale or commercial use of our website or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of our website or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.

6.3 Project Deliverables

The ownership of intellectual property rights in the deliverables created as part of our services will be specified in the separate agreement or statement of work. Unless otherwise agreed in writing, InnovoCode retains ownership of all intellectual property rights in the deliverables, and grants the client a non-exclusive, worldwide, perpetual license to use the deliverables for their intended purpose.

7. User Conduct

You agree not to use our website or services in any way that:

  • Violates any applicable law, regulation, or these Terms
  • Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable
  • Jeopardizes the security of your account or anyone else's account
  • Attempts to obtain unauthorized access to our website, services, or systems
  • Interferes with the proper working of our website or services
  • Imposes an unreasonable or disproportionately large load on our infrastructure
  • Transmits any viruses, worms, defects, Trojan horses, or other items of a destructive nature

9. Limitation of Liability

To the fullest extent permitted by law, InnovoCode shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our website or services
  • Any conduct or content of any third party on our website or services
  • Any content obtained from our website or services
  • Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you to us for the services in the 12 months preceding the event giving rise to the liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless InnovoCode and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms.

11. Termination

We may terminate or suspend your access to our website or services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use our website and services will immediately cease. If you wish to terminate your account, you may simply discontinue using our website and services.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of England and Wales, which shall have exclusive jurisdiction.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our website or services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using our website and services.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
